Terms and Conditions

1. About these terms
These terms and conditions ("Terms") govern your use of the FairBooks platform, including the website at fairbooks.com.au and the application at app.fairbooks.com.au (together, the "Service"). The Service is operated by FairBooks (ABN 82 310 114 471).
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
2. The Service
FairBooks is an online accounting tool designed for Australian sole traders and small businesses. The Service allows you to:
- Create and send invoices to your customers.
- Record and categorise business expenses.
- Generate reports, including Business Activity Statement (BAS) summaries.
- Manage customer records and business settings.
We may add, modify, or remove features of the Service at any time. We will endeavour to give you reasonable notice of significant changes.
3. Early access
The Service is currently in early access. During this period:
- Features may be incomplete, changed, or removed without notice.
- The Service may experience interruptions, bugs, or data issues.
- We may reset, migrate, or restructure data as the platform evolves.
We strongly recommend that you maintain independent records and do not rely solely on FairBooks during early access. By using the Service during this period, you acknowledge and accept these additional risks.
4. Accounts
To use the Service, you must create an account with a valid email address. You are responsible for:
- Keeping your login credentials secure and confidential.
- Enabling two-factor authentication where available.
- All activity that occurs under your account.
- Ensuring the information you provide is accurate and up to date.
You must be at least 18 years of age to create an account. You may not assign or transfer your account to another person without our prior written consent. You must notify us immediately at info@fairbooks.com.au if you suspect unauthorised access to your account.
5. Fees and payment
FairBooks is currently in development and is not yet accepting paid subscriptions. Pricing will be announced before the Service launches publicly.
When pricing is introduced, fees will be quoted in Australian dollars (AUD) and inclusive of GST. We will provide at least 30 days' notice before any charges apply.
6. Your data
You retain ownership of all data you enter into FairBooks, including business details, customer records, invoices, and expenses ("Your Data"). We do not claim any intellectual property rights over Your Data.
You grant us a limited licence to use, store, and process Your Data solely for the purpose of providing the Service to you. This licence ends when your account is closed. Our handling of personal information is described in our Privacy Policy.
You may request an export of Your Data at any time by contacting us. We will provide your data in a commonly used, machine-readable format within a reasonable timeframe.
You are responsible for maintaining your own backups and records. While we take reasonable steps to protect Your Data, we do not guarantee that data will never be lost.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in breach of any applicable law.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Interfere with or disrupt the Service, or impose an unreasonable load on our systems.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to store or transmit malicious code or harmful content.
- Resell, sublicence, or provide the Service to third parties without our consent.
- Use the Service on behalf of a person or entity that has been suspended or terminated.
We may suspend or terminate your account if you breach these Terms, with or without prior notice depending on the severity of the breach.
8. Not financial or tax advice
FairBooks is a bookkeeping and invoicing tool. It is not a substitute for professional accounting, tax, or financial advice.
FairBooks is not a registered tax agent, BAS agent, or financial adviser under the Tax Agent Services Act 2009 (Cth) or the Corporations Act 2001 (Cth). We do not provide tax advice, prepare tax returns, or act on your behalf with the ATO.
While the Service includes features such as BAS summaries and GST calculations, these are provided as a convenience only. We do not guarantee the accuracy, completeness, or suitability of any calculations or reports for your specific circumstances.
You are solely responsible for:
- Meeting your obligations to the Australian Taxation Office (ATO), including lodging BAS returns and maintaining records for the required period (generally 5 years).
- Verifying the accuracy of invoices, expense records, and reports before relying on them.
- Seeking independent professional advice where appropriate.
9. Intellectual property
All intellectual property in the Service -including the software, design, branding, and documentation -belongs to FairBooks. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.
10. Availability and warranties
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we exclude all warranties, representations, and guarantees, whether express or implied, except those that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
11. Limitation of liability
To the maximum extent permitted by law, FairBooks will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:
- Loss of data, revenue, profits, or business opportunities.
- Penalties, fines, or interest imposed by the ATO or any other authority.
- Errors in calculations, reports, or generated documents.
- Service interruptions or downtime.
Our total aggregate liability to you for all claims arising under these Terms is limited to the fees you have paid to FairBooks in the 12 months preceding the claim, or $100 AUD, whichever is greater.
Nothing in these Terms excludes or limits liability that cannot be excluded under Australian law, including liability under the Australian Consumer Law for services that are not provided with due care and skill.
12. Indemnification
You agree to indemnify and hold harmless FairBooks, its officers, and employees from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in breach of these Terms.
- The accuracy or legality of Your Data, including invoices and customer records you create.
- Your failure to meet your obligations to the ATO or any other regulatory body.
- Any third-party claim arising from your use of the Service.
13. Termination
You may close your account at any time. We may suspend or terminate your account if you breach these Terms, or if we discontinue the Service.
Before closing your account, you may request an export of Your Data (see section 6). We will provide a reasonable period for you to retrieve your data before deletion.
On termination, your right to use the Service ceases immediately. We will handle your personal information in accordance with our Privacy Policy, including deleting your data within 30 days unless required by law to retain it.
Sections 8, 9, 11, 12, and 16 survive termination of these Terms.
14. Electronic communications
By creating an account, you consent to receiving electronic communications from us, including service notifications, security alerts, and notices about changes to these Terms or our Privacy Policy. These communications satisfy any legal requirement that notices be provided in writing.
15. Force majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where the failure or delay is caused by circumstances beyond our reasonable control, including natural disasters, internet or telecommunications failures, cyberattacks, government actions, pandemics, or power outages.
16. Dispute resolution
If a dispute arises in connection with these Terms or the Service, the parties agree to follow this process before commencing court proceedings:
- Notice -the party raising the dispute must send a written description of the dispute to the other party.
- Negotiation -the parties will attempt to resolve the dispute through good-faith negotiation within 30 days of the notice.
- Mediation -if negotiation is unsuccessful, the parties will attempt mediation administered by the Queensland Law Society or an agreed mediator, with costs shared equally.
Nothing in this section prevents either party from seeking urgent interlocutory relief from a court.
17. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
If you do not agree with the changes, you may close your account before they take effect.
18. Governing law
These Terms are governed by the laws of Queensland, Australia. Subject to the dispute resolution process in section 16, any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Queensland.
19. General
- Severability -if any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- Waiver -our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment -we may assign or transfer these Terms (for example, in connection with a merger or acquisition) by giving you reasonable notice. You may not assign or transfer your rights under these Terms without our prior written consent.
- Entire agreement -these Terms, together with our Privacy Policy, constitute the entire agreement between you and FairBooks regarding the Service, and supersede any prior agreements or understandings.
